The name must not be misleadingly similar to tha\ t of another LLP, Corporation, Trade Name, Limited Partnership or Limited Liability Company on file wit\ h the Department and the name must include one of the following: a. Limited Liability Partnership b. L .L.P. c. LLP (2) Insert the purpose of this LLP. A one or two sentence description of t\ he business is sufficient. (3) Insert the address of this LLP. The address must be in Maryland and cannot be a P.O. box. (4) Insert the name of the resident agent. A resident agent is another ent\ ity or individual designated to accepted service of process for the LLP. The resident agent can be any \ Maryland citizen who is over eighteen, a Maryland corporation or a Maryland LLC. This person must al\ so sign the document. (5) Insert the address of the resident agent named in (4). The address m\ ust be in Maryland and cannot be a P.O. box. (6) Insert anything else you consider relevant. Failure to file a Personal Property Return will result in forfeiture of your right to conduct business in Maryland. Copies of the return are available on the SDAT website. The returns are due April 15th of each year .
